Cointiply Labs — Terms of Service

1. The Agreement

These Terms of Service ("Terms") form a binding contract between you and 3D Asset Holdings LLC ("Cointiply", "we", "us"). They apply to your access to and use of Cointiply Labs ("Labs", "the Service"), the chat-first, large-language-model ("LLM") powered interface available at the Cointiply Labs domain.

By clicking "I accept" on the Cointiply Labs acceptance screen, by using the Service, or by sending any prompt to Cointiply Labs, you agree to be bound by these Terms and by the Cointiply Labs Privacy Policy, which is incorporated by reference. If you do not agree, you must not use Cointiply Labs.

These Terms supplement, and do not replace, the Cointiply Terms of Service that govern your underlying cointiply.com account. In the event of a direct conflict between the two as applied to your use of Cointiply Labs, these Labs Terms control with respect to Labs only.

2. Eligibility

You must be at least eighteen (18) years old, of legal age to form a binding contract in your jurisdiction, and not on any sanctions list to use Cointiply Labs. You must not be a resident of, or accessing the Service from, any jurisdiction that is the subject of comprehensive U.S. sanctions or that prohibits the use of cryptocurrency rewards services.

You represent that the cointiply.com account you bridged into Labs is your own, was not obtained through fraud or impersonation, and is in good standing under the cointiply.com Terms of Service.

Cointiply may, at its sole discretion and without notice, suspend, terminate, or refuse access to Labs for anyone who fails to meet these eligibility requirements at any time.

3. What Cointiply Labs Is — and Is Not

Cointiply Labs is an experimental, AI-mediated interface to the Cointiply rewards platform. It uses one or more third-party Large Language Models to interpret natural-language prompts, surface offers, summarize information, render in-chat embeds (spin wheels, offer cards, balance widgets), and recall facts you have shared.

Labs is supplementary to cointiply.com. It does not replace the website, mobile app, or support channels. Coin balances, payouts, claim history, and withdrawals are governed exclusively by the cointiply.com Terms of Service and remain the canonical record. Anything Labs displays about your balance or earnings is a derived view of the upstream system and may be momentarily out of date.

LABS IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS FOR PERSONAL, NON-COMMERCIAL USE. IT IS NOT A FINANCIAL, INVESTMENT, LEGAL, MEDICAL, OR TAX ADVISORY SERVICE. NOTHING THE LLM SAYS CONSTITUTES ADVICE ON WHICH YOU MAY RELY.

4. Account Bridge & Authentication

Access to Cointiply Labs requires you to bridge a cointiply.com account using the Cointiply OAuth-style bridge flow. The bridge transfers a short-lived authorization token that Labs exchanges, server-to-server, for a session token tied to your Cointiply identity.

You are responsible for safeguarding the credentials of your cointiply.com account. Anyone who completes the bridge flow with your credentials will be treated by Labs as you. You must not share your bridge link, session, or any cookie issued by Labs.

You authorize Cointiply Labs to read, on your behalf, the Cointiply data necessary to provide the Service, including but not limited to: your coin balance, level, country, claim and payment history, spin and streak state, offer eligibility, and chat-room presence. Labs may also write back actions you initiate (claiming a spin, redeeming a streak, posting a chat message) to your cointiply.com account.

5. AI-Generated Content Disclaimer

Cointiply Labs uses third-party Large Language Models. LLMs are statistical systems that produce output by predicting plausible next tokens. They are known to "hallucinate" — to invent facts, misquote sources, miscalculate, give outdated payout information, fabricate offer details, misremember prior turns, follow injected instructions hidden in tool results, and otherwise produce confidently wrong answers.

You acknowledge and agree that any output you receive from Cointiply Labs may be inaccurate, incomplete, biased, offensive, or otherwise inappropriate. You are solely responsible for evaluating the accuracy, usefulness, and safety of every output before relying on it. You will independently verify any monetary, payout, eligibility, time-window, or withdrawal-related claim made by the LLM against the canonical view at cointiply.com before acting on it.

Cointiply does not endorse, certify, or guarantee any specific output. Cointiply makes no warranty that any prompt will produce a useful response, that the same prompt will produce the same response twice, that an embed (e.g., a spin wheel or offer card) will reflect live state, or that the assistant will refrain from any particular topic.

6. Third-Party AI Processors

To deliver Cointiply Labs, your prompts, selected portions of your chat history, your derived memory facts, your voice recordings (when you use voice input), and metadata about your interaction are forwarded to one or more third-party AI processors. The current set of processors is: Anthropic Claude (Anthropic, PBC, United States); OpenAI (OpenAI, L.L.C., United States); DeepSeek (Hangzhou DeepSeek AI Basic Technology Research Co., Ltd., People's Republic of China).

By using Cointiply Labs, you authorize this processing and you agree to the privacy and acceptable-use policies of each processor, which are subject to change without notice from Cointiply. The list of processors may be updated from time to time without re-acceptance, except that any change to the data jurisdictions of those processors will trigger a new version of these Terms.

IMPORTANT — DEEPSEEK NOTICE. Some routine assistant turns are routed to DeepSeek, an LLM provider operated from the People's Republic of China. Data sent to DeepSeek is processed and stored on infrastructure subject to PRC law, including laws permitting government access to data. By using Cointiply Labs, you expressly consent to this transfer and processing. You agree not to enter, into any prompt sent to Cointiply Labs, any data you do not wish to be processed under PRC law, including but not limited to highly sensitive personal data, identity-document numbers, banking credentials, payment-card numbers, health records, or content that would expose you to risk if disclosed to a foreign government.

7. Acceptable Use

Cointiply Labs is for your personal use to interact with your own cointiply.com account. You will not, and will not attempt to, do any of the following:

• Use Labs to commit fraud, money laundering, or any other unlawful activity, or in furtherance of any sanctioned activity.
• Use automated means — bots, scrapers, headless browsers, scripted prompts, or LLM-on-LLM agents — to interact with Labs, except for accessibility tools you operate yourself.
• Operate or coordinate multiple cointiply.com accounts through Labs, or use Labs to evade a suspension of any account.
• Attempt to elicit prompts, system instructions, tool definitions, training data, model weights, or proprietary chain-of-thought from Labs, including via prompt injection, jailbreaks, indirect injection through offer text, encoded payloads, or any other means.
• Use Labs to generate content that infringes intellectual property rights, defames any person, harasses or threatens any person, sexualizes minors, depicts real-world violence, promotes self-harm, or incites hatred against a protected class.
• Use Labs to extract, scrape, harvest, or compile information about other Cointiply users, including chat-room participants, leaderboards, or referrals, beyond what Labs voluntarily surfaces to you about yourself.
• Reverse engineer, decompile, or otherwise attempt to derive the source code, architecture, prompts, or model identity of Labs or its underlying systems.
• Resell, redistribute, white-label, mirror, or commercialize the output of Labs, or use that output to train a competing model.
• Submit content that is, or that you have reason to believe is, malware, exploit code, illegal pornography, classified material, or material protected by attorney-client or doctor-patient privilege belonging to a third party.
• Probe, scan, stress-test, denial-of-service, or otherwise interfere with the integrity, availability, or rate limits of Labs or any third-party processor.
• Use Labs to interact with cointiply.com on behalf of any person or entity other than yourself.
• Misrepresent yourself, your identity, your jurisdiction, or your eligibility to any feature gate.

8. Your Prompts, Output, and Content License

As between you and Cointiply, you retain ownership of the prompts you submit ("Inputs") and of any unmodified output the Service returns to you ("Outputs"), to the extent any rights subsist in them under applicable law.

You grant 3D Asset Holdings LLC a worldwide, royalty-free, sublicensable, irrevocable license to host, store, reproduce, modify, create derivative works of, and use your Inputs and Outputs to: (a) operate, maintain, and improve Cointiply Labs; (b) provide the Service to you and to other users (including by aggregating de-identified or anonymized inputs); (c) detect and prevent fraud, abuse, and policy violations; (d) train, fine-tune, and evaluate proprietary classifiers, prompt templates, and routing systems used by Labs (excluding the third-party LLMs themselves, whose training use is governed by each processor's own terms); and (e) comply with legal obligations.

You represent and warrant that you have all rights necessary to grant the license above for every Input you submit, that no Input infringes the rights of any third party, and that no Input contains personal data of any other living individual that you have no lawful basis to share.

Cointiply may, but is not obligated to, review Inputs and Outputs. Cointiply may remove, suppress, or refuse to process any Input or Output for any reason at any time, including for suspected violation of these Terms or applicable law.

9. Conversational Memory

Cointiply Labs may store summaries, extracted "facts," and selected message history about you to provide a continuous conversational experience. You may at any time review and delete any stored fact through the in-product memory controls.

Deleting a fact removes it from future prompts but does not retroactively erase its appearance in past LLM responses, in third-party processor logs (which are governed by each processor's retention policy), or in any aggregated, de-identified analytics that no longer identify you.

10. No Financial, Legal, or Tax Advice

Nothing said, written, displayed, or implied by Cointiply Labs is financial, investment, legal, accounting, or tax advice. Cryptocurrency rewards have tax consequences in most jurisdictions; you are solely responsible for tracking your earnings, computing your tax liability, and complying with all reporting obligations. The LLM is not a registered tax preparer, attorney, or financial advisor and any opinion it offers in any of those domains is unauthorized and not to be relied upon.

11. Coins, Rewards, and Withdrawals

Coins, payouts, withdrawals, mystery boxes, daily streaks, and any other reward mechanic accessible through Cointiply Labs are governed by the cointiply.com Terms of Service. Labs is a presentation surface; it does not change, increase, decrease, accelerate, delay, or supersede any reward you would have earned without it.

Cointiply may, in its sole discretion, reverse, claw back, or forfeit coins or rewards earned, displayed, or claimed through Labs that result from fraud, error, abuse, multi-accounting, automation, exploit of an LLM hallucination, or violation of these Terms. The reversed amount may exceed the amount obtained through misuse to the extent permitted by the cointiply.com Terms of Service.

12. Suspension and Termination

Cointiply may suspend or terminate your access to Cointiply Labs at any time, with or without notice, for any reason or for no reason, including but not limited to: violation of these Terms, suspected fraud or abuse, security risk, request by law enforcement, change in eligible jurisdictions, or sunset of the Labs product itself. Termination of Labs access does not affect your underlying cointiply.com account except as provided in the cointiply.com Terms.

You may stop using Cointiply Labs at any time. To revoke this acceptance and bridge, log out from Labs and use the cointiply.com account-deletion or unlinking flow.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COINTIPLY LABS, ITS UNDERLYING LLM PROCESSORS, AND ALL RELATED CONTENT, EMBEDS, OUTPUTS, AND METADATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. 3D Asset Holdings LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, RELIABILITY, OR SECURITY. NO ADVICE OR INFORMATION OBTAINED FROM LABS, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 3D ASSET HOLDINGS LLC, ITS AFFILIATES, AND ITS AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, COINTIPLY LABS — INCLUDING ANY DAMAGES ARISING FROM AN OUTPUT'S INACCURACY, FROM RELIANCE ON ANY OUTPUT, FROM A THIRD-PARTY PROCESSOR'S OUTAGE, OR FROM SUSPENSION OR TERMINATION OF YOUR ACCESS — EVEN IF COINTIPLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL COINTIPLY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO COINTIPLY LABS EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE U.S.-DOLLAR EQUIVALENT OF THE COINS YOU ACTUALLY EARNED THROUGH LABS IN THE NINETY (90) DAYS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. To the extent any such limitation is prohibited as to you, the foregoing limitations apply only to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless 3D Asset Holdings LLC, its affiliates, and its and their officers, directors, employees, agents, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of Cointiply Labs; (b) your Inputs; (c) your violation of these Terms or any applicable law; or (d) your violation of any third-party right, including intellectual property, privacy, or contractual rights, in connection with your use of Labs.

16. Governing Law, Arbitration, and Class Waiver

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or to Cointiply Labs that cannot be resolved by good-faith negotiation within thirty (30) days will be resolved exclusively by binding individual arbitration administered by a recognized U.S. commercial arbitration body, seated in Delaware, in English.

YOU AND 3D ASSET HOLDINGS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. JURY TRIALS ARE WAIVED. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Delaware to protect its intellectual property or to prevent abuse of the Service.

If any portion of this Section 16 is held unenforceable as to any claim, that claim must be litigated in the state or federal courts of Delaware, to whose jurisdiction the parties consent.

17. Changes to These Terms

Cointiply may update these Terms from time to time. The version identifier of these Terms is "1.0". When the substantive terms change, Cointiply will publish a new version, mark it with a later effective date, and require you to re-accept it before continuing to use Labs. Cosmetic edits do not bump the version. Your continued use of Cointiply Labs after a new version takes effect constitutes acceptance of that new version, in addition to the explicit acceptance gate.

18. Miscellaneous

These Terms, together with the Cointiply Labs Privacy Policy and the cointiply.com Terms of Service, constitute the entire agreement between you and 3D Asset Holdings LLC regarding Cointiply Labs and supersede any prior or contemporaneous agreement on the subject. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Cointiply's failure to enforce a provision is not a waiver of its right to do so later. You may not assign these Terms; Cointiply may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.
